Short answer
The wyobiz status “Inactive - Administratively Dissolved (Tax)” marks an LLC the state dissolved. Wyoming’s Secretary of State says an entity is administratively dissolved when its annual report is not filed within 60 days after the due date. You can reinstate within two years by filing missed reports and fees.
Key takeaways
- The Wyoming Secretary of State’s FAQ says an entity is delinquent on the second day of the month after its annual report due date. If the report is still not filed within 60 days after the due date, the entity is administratively dissolved.
- W.S. 17-29-705(b) covers an LLC that did not pay the fee required by W.S. 17-29-210, which includes the annual fee due with the annual report. The notice goes to the LLC’s “last known mailing address by first class mail or by electronic means.”
- Under W.S. 17-29-705(b), an LLC can be reinstated within two years. The LLC form asks for the missed reports and the delinquent fees. The reinstatement relates back, as if the LLC had never been deemed defunct.
- The fee schedule (revised June 2026) lists LLC “Reinstatement for Tax” at $100 and “Reinstatement for No Registered Agent” at $350. The LLC reinstatement form adds each delinquent annual report and its fee to the tax track.
- The annual report fee is a license tax of $60 or $0.0002 per dollar of Wyoming assets, whichever is greater. The FAQ says an entity with $300,000 or less in Wyoming assets pays $60.
- We counted nine labels on one LLC’s wyobiz reinstatement screen. Three are separate standing lines for Tax, RA (registered agent) and Other, so you can see which line is delinquent.
What “Inactive - Administratively Dissolved (Tax)” means on wyobiz
The status means the Wyoming Secretary of State dissolved the LLC on its own, without a request from the owners. “Inactive” is the result, and “Administratively Dissolved” says the state acted. The part in parentheses, “(Tax),” is explained in the box below, and the LLC can still reinstate within two years after the dissolution.
The Secretary of State’s Business Division FAQ gives the timeline in two sentences. “The entity will be deemed delinquent on the second day of the month following its due date. If the annual report is not filed within sixty (60) days following the due date, the entity will be administratively dissolved.”
The statute uses different words for the same result. W.S. 17-29-705 is titled “Administrative forfeiture of authority and articles of organization.” Under subsection (b), an LLC that did not pay the fee required by W.S. 17-29-210 is “deemed to be transacting business within this state without authority.” Unless it complies within 60 days of the notice, it is “deemed defunct and to have forfeited its articles of organization.”
The state’s own forms use both sets of words. The LLC Application for Certificate of Reinstatement begins: “A limited liability company administratively dissolved under W.S. 17-29-705 may apply to the Secretary of State for reinstatement within two (2) years after the effective date of dissolution.” So “administratively dissolved” on wyobiz and “forfeited” in the statute describe the same result.
What “(Tax)” refers to
The fee schedule calls the annual report payment the “Annual Report License tax” and lists a separate “Reinstatement for Tax.” W.S. 17-29-209 calls the same payment a “license fee.” We did not find a Secretary of State page that defines the word in parentheses on the status line. The business detail page on wyobiz showed a human verification check when we tried to open it on October 17, 2026, so we could not read it there. Reading “(Tax)” as the unpaid annual report track is our interpretation.

How to read the wyobiz reinstatement screen
The Reinstate Online screen on wyobiz.wyo.gov shows an LLC’s status in labeled lines. On October 17, 2026, we opened it for one Wyoming LLC whose status reads “Inactive - Administratively Dissolved (Tax).” Above the filing options, the screen shows nine labels. Three of them are separate standing lines.
| Label on the screen | Value on the record we opened | What it tells you |
|---|---|---|
| Name | The LLC’s registered name | Check that you are reinstating the right company. |
| Filing ID | A number in the form 2020-000… | The Secretary of State’s ID for the LLC. Forms ask for it. |
| Type | Limited Liability Company | The entity type, which decides the fee row on the fee schedule. |
| Status | Inactive - Administratively Dissolved (Tax) | Whether the LLC is active, and the reason it is not. |
| Sub Status | Current | The pages we read do not define this field. |
| Standing - Tax | Delinquent | The annual report and license tax line. |
| Standing - RA | Good | The registered agent line. |
| Standing - Other | Good | Any other ground. The pages we read do not list what it covers. |
| Formed in | Wyoming | Where the LLC was formed. Foreign LLCs have extra steps. |
Labels from the wyobiz.wyo.gov reinstatement screen for one LLC, read on October 17, 2026. We left out the company’s name. The explanations are ours.
The three standing lines matter because Wyoming has two reinstatement tracks with different fees, and the lines show which part of the record is delinquent. On the record we opened, only “Standing - Tax” read “Delinquent.” The registered agent line read “Good.”

The annual report calendar that leads to dissolution
The annual report is due once a year. The wyobiz annual report page says: “Annual Reports for corporations, LLCs, LPs, RLLPs and SFs are due on the first day of the anniversary month of formation.” Its example is a business with an initial filing date of May 15. That report is due May 1 each year.
W.S. 17-29-209(a) sets the payment. An LLC pays a license fee “of sixty dollars ($60.00) or two-tenths of one mill on the dollar ($.0002), whichever is greater,” based on its capital, property and assets in Wyoming. The FAQ gives an example: $1,210,000 in Wyoming assets means a $242 tax.
| When | What happens | Source |
|---|---|---|
| Up to 120 days before the due date | The annual report can be filed early | Business Division FAQ |
| 60, 30 and 10 days before the due date | Courtesy email reminders go to the email address on file | Business Division FAQ |
| First day of the anniversary month | Annual report and license tax are due | W.S. 17-29-209(a), wyobiz annual report page |
| Second day of the following month | The entity is deemed delinquent | Business Division FAQ |
| After the 60 days that follow the due date | If the report is still not filed, the entity is administratively dissolved | Business Division FAQ |
| Two years after the dissolution | The last day to reinstate | W.S. 17-29-705(b), LLC reinstatement form |
From W.S. 17-29-209 and 17-29-705, the Business Division FAQ, and the wyobiz annual report page, read on October 17, 2026.
The FAQ and the statute count the 60 days from different starting points. The FAQ counts from the due date. W.S. 17-29-705(b) says compliance must happen “within sixty (60) days of the date of notice.” W.S. 17-29-705(d) lets the Secretary of State classify an LLC as “delinquent awaiting forfeiture” at the time it provides the notice. We did not see this label on the wyobiz screen we opened. We did not find a Secretary of State page that says when the notice is sent. Plan around the due date.
Tax track compared with the no registered agent track
W.S. 17-29-705 has more than one ground. Subsection (a) covers an LLC without a registered agent or registered office in Wyoming. Subsection (b) covers an unpaid annual fee. Subsection (c) lists further grounds, such as a false filing or an LLC that cannot be served, and uses the steps in subsection (a).
The two main tracks are reinstated in different ways and at different prices.
| Question | Tax track, W.S. 17-29-705(b) | No registered agent track, W.S. 17-29-705(a) |
|---|---|---|
| What starts it | The fee under W.S. 17-29-210 or certain penalties are not paid | The LLC has no registered agent or registered office in Wyoming, for any reason |
| Where the notice goes | “last known mailing address by first class mail or by electronic means” | “by first class mail or by electronic means” (no address named) |
| Time to comply | Within 60 days of the date of notice | Within 60 days of mailing or electronic submission of the notice |
| Reinstatement window | Two years after the forfeiture | Two years after the forfeiture |
| State fees on the LLC form | Each delinquent annual report fee, plus the $100 reinstatement fee | $5 agent appointment, $100 reinstatement fee and $250 penalty |
| Does reinstatement relate back? | Yes. The statute says it takes effect as of the date the LLC was deemed defunct | The subsection does not say |
| Does the LLC keep its name? | The subsection does not say | Yes, during the two-year period |
From W.S. 17-29-705(a) and (b), the Business Division fee schedule (revised June 2026), and the LLC Application for Certificate of Reinstatement (revised November 2021), read on October 17, 2026.
The fee schedule lists LLC “Reinstatement for No Registered Agent” at $350. The form lists a $100 reinstatement fee and a $250 penalty, which add up to that $350. The LLC form also lists a $5 fee for the agent appointment and consent forms, so the state fees on this track come to $355. The $250 penalty also appears in W.S. 17-29-705(a).
How to reinstate a Wyoming LLC dissolved for tax
The FAQ describes who can reinstate online. “An entity dissolved/revoked for failure to file annual reports within the past two (2) years, and which has no other delinquencies, may file a reinstatement online, or generate reinstatement forms for mail-in processing.” It adds: “Entities having multiple delinquencies will be provided the appropriate filing form for mail-in processing.”
- 1Find the Filing ID. The wyobiz search shows it, and the state’s forms ask for it.
- 2Open Reinstate Online on wyobiz.wyo.gov and confirm the entity. Check the three standing lines to see which one reads “Delinquent.”
- 3File each missed annual report. On the screen we opened, step 1 was the 2025 Annual Report Form and step 2 was the Reinstatement Form.
- 4Pay the fees. The screen says: “If the fee for any Annual Report exceeds $500.00, you will not be able to complete an Online Reinstatement.” In that case, you generate the forms and mail them.
- 5If you file by mail, the form says processing takes “up to 15 business days following the date of receipt in our office.”
Here is the state fee for one missed report at the $60 minimum. The license tax is $60 and the reinstatement fee is $100, so the total is $160. The wyobiz annual report page adds a card processing fee of 2.4%, minimum $1, when you file an annual report online. A second missed report adds its own fee. Our guide to what a Wyoming LLC costs explains the yearly license tax in more detail.
Foreign LLCs have one more step. The reinstatement form says foreign entities “Must submit a good standing certificate/certificate of existence from the state or country of formation dated not more than sixty (60) days prior to filing the reinstatement in Wyoming.”
After two years, the FAQ is direct: “Wyoming statutes do not allow for reinstatement after two (2) years in an administratively dissolved standing.” If the Secretary of State rejects a reinstatement, W.S. 17-29-707 points to W.S. 17-16-1423. That section allows an appeal to the district court within 30 days after service of the notice of denial is perfected.
Administrative dissolution compared with closing the LLC on purpose
An LLC that stops filing ends up on a different path from one that files Articles of Dissolution. The fee schedule lists “Amendment/Dissolution/Any Other Filing” at $60 for LLCs. W.S. 17-29-703 and 17-29-704 set claim procedures for a dissolved LLC. They sit in the part of Chapter 29 on dissolution and winding up. Section 17-29-705 does not refer to them. Ask a Wyoming attorney before you rely on them after an administrative dissolution.
If you want to close the company on purpose, our guide to dissolving a Wyoming LLC walks through the Articles of Dissolution and the federal steps. Florida uses a similar system with different dates and fees, covered in our guide to a Florida LLC that was administratively dissolved.
Where the notices go: the addresses on your Wyoming record
We read W.S. 17-29-705 for every mention of how a notice is sent. Subsection (a) names first class mail or electronic means. Subsection (b) adds the address: the LLC’s “last known mailing address.” Section 17-29-705 does not name the principal office or the email address for this notice.
W.S. 17-28-101(e) requires each business entity to “maintain an email address that the secretary of state’s office may use to serve documents on the business entity.” The FAQ says reminders are sent “using the email address provided to us.” W.S. 17-28-104(a) adds that the Secretary of State “may provide service of process, notice or demand by electronic means.” The LLC reinstatement packet has three forms, and each form carries the same line: “Email(s) provided will receive important reminders, notices and filing evidence.”
Other laws use other addresses. W.S. 17-29-209(a) says the annual report “shall give the address of its principal office.” W.S. 17-28-104(b) allows service by registered or certified mail “addressed to the entity at its principal office” when the LLC has no registered agent or the agent cannot be served with reasonable diligence.
| Address on your record | What the Wyoming sources say about it | Why it matters here |
|---|---|---|
| Email address | W.S. 17-28-101(e) requires an email address the Secretary of State may use to serve documents. Required on the Update Form and the reinstatement forms, which say it receives “important reminders, notices and filing evidence” | Annual report reminders go here, and W.S. 17-29-705 allows notice by electronic means |
| Mailing address | A line on the Update Form. The form does not describe what kind of address it accepts | W.S. 17-29-705(b) sends the tax notice to the last known mailing address |
| Principal address | Required on the annual report by W.S. 17-29-209(a) | W.S. 17-28-104(b) uses it for service by mail when there is no agent |
| Registered office | Must be a street address in Wyoming where the agent, or a person with an agency relationship, is physically present (W.S. 17-28-101) | Losing the agent starts the no registered agent track in W.S. 17-29-705(a) |
From W.S. 17-28-101 (including subsection (e)), 17-28-104, 17-29-209 and 17-29-705, the Update Form (revised June 2021), the LLC reinstatement packet, and the Business Division FAQ, read on October 17, 2026.
The Update Form changes the principal address, mailing address, phone, fax and email. The form says it may be sent by email to SOSRequest@wyo.gov or by mail. The agent appointment form in the reinstatement packet asks two more questions. It asks whether the mailing address and the principal address should change to the new registered office address. Read those two boxes before you check them.
The Update Form does not say what kind of address the mailing line or the principal address line accepts. Ask the Business Division before you list an address from a mail or virtual office service there. Before you put an address on a state filing, our free address checker shows how USPS classifies it. Our Silicon Valley and Los Angeles pages describe the business addresses save office offers.
